  • HLIVÁK, M. SELECTED ISSUES OF THE LEGAL REGULATION OF THE CONTRACT ON SALE OF AN ENTERPRISE

    The author is dealing with selected issuses of the legal regulation of the contract on sale of an enterprise in accordance with the legal regulation of the Slovak republik in connection to the legal regulation of the Czech republik, judicial decisions and opinions of legal theorist concernig this issue. The special attention is focused on the specific questions related to the contract on sale of an enterprise, in particular the essentials of the contract on the sale of an enterprise, the protection of the venodor's creditors in connection to the enterprise, transfer of the intellectual property rights, labour relations in connection with the sale of an enterprise, the business name in connection with the sale of an enterprise, the price for the sale of an enterprise, handover and takeover of the enterprise and defects and the liability for defects in case of the sale of an enterprise.

    The authors deal with selected and current issues of transformation of football clubs with emphasis on youth football. Special attention is given to the presentation of the of new draft of the directive on legal and organizational changes of football clubs, which was drawn up in co-operation with the authors of this article and manages some of the financial problems of football clubs in the Slovak Football Association in accordance with the Act and other regulations of the SFA. The authors also provide potential solutions to the existing legal problems relating to the issue.

    The authors of the article addresses the question whether under Slovak law, it is permissible that one shares in a limited liability company belonged to several persons at the same time. In the next part of the article the authors reflect on the rights and obligations arising from co-ownership of the shares and the terms of the contract approximates the co-ownership of shares.

  • HLIVÁK, M. CURRENT ISSUES RIGHT TO FAIR TRIAL AND JUDICIAL PROTECTION AND JUDGING SPORTS DISPUTES

    A fair trial as the basic natural legal value should be applied to any form of resolving disputes while retaining the specific character of the sport activity. In the article, the author deals with the selected issues of applying the right to a fair trial resulting from the Constitution of the Slovak Republic and international conventions on basic human rights and freedoms when deciding the sport disputes. He specially focuses on the analysis of the Art. 15 of the Act No. 83/1990 Coll. on Association of Citizens as amended in conjuction with the actual judicial decisions of the Slovak Republic and Czech Republic and reflections de lege ferenda.

  • HLIVÁK, M. Selected issues of private enforcement of competition law in the European Union law and the legal system of the Slovak Republic

    The competition rules are the part of the European Union law, as well as law of the Slovak Republic. In the article, the author deals with the selected issues of the private enforcement of the competition law of the European Union and Slovak Republic. In the first part, he compares public and private enforcement of the competition law. Then he analyses the legal regulations of private enforcement of the competition law in scope of the European Union law and Slovak Republic law emphasizing on the enforcement of compensation for damage caused by breaching the competition law of the Slovak Republic. He specially focuses on analysis of the famous decision of the Court of Justice in the matter of C-453/99 Courage v. Crehan and its effect on private enforcement of the European Union competition law.
